Musk Offered a Way to Make the Twitter Deal Go Ahead
On Saturday, Elon Musk had mentioned that his planned $44 billion takeover of Twitter would definitely move forward if the company would be able to ensure some details about how it measures whether the user accounts were spam bots or real people.
HIGHLIGHTS
- Musk asked Twitter to provide the proofs of which accounts are spam or real
- If Musk finds that SEC filings are materially false then he would cancel the deal
- As per Twitter, Musk offered the deal due to deteriorating market conditions
The Tesla CEO has been attempting to move out of his April agreement to make a purchase of the social media company, leading Twitter to sue him last month in order to complete the acquisition.
Elon Musk had countersued by accusing Twitter of misleading his team about the correct size of the user base and different other issues he had claimed amounted to fraud and breach of contract.
Both sides have been headed towards the October trial in a Delaware court.
Musk has offered a deal to Twitter that if it simply provides their method of sampling a 100 accounts and the way they have confirmed those accounts to be real, then the deal would proceed on original terms. However, if they found that their SEC filings are materially false, then the deal would no longer be available to the Twitter.
Well, Twitter had declined to comment on the Musk's Tweet on Saturday. The company has repeatedly disclosed to the Securities and Exchange Commission an estimate that fewer than 5 percent of user accounts are fake or spam, along with a disclaimer that it might be higher. Musk has waived his right to further due diligence once he had signed the April merger contract.
Twitter has argued in court that Musk has been deliberately attempting to offer the deal as the market conditions have deteriorated and therefore the acquisition have not been serving his interests. On Thursday, in a court filing it has described about his counterclaims as an imagined story contradicted by the proof and common sense.
According to the company's attorney, Musk had invented representations that Twitter had never made and it tries to wield. Selectively, the in depth confidential information that Twitter had provided him to conjure a breach of these supposed representations.
